By downloading, installing, accessing or using any of the Scan Clan ("Scan Clan") facilities including, without limitation, the Scan Clan mobile, desktop and web applications, and any other digital services or facilities operated or used by Scan Clan from time to time (collectively referred to as the "Services"), you agree to comply with and be bound by these Terms of Use ("Terms of Use").

Please read these Terms of Use carefully as well as the Privacy Policy. If you do not agree to the Terms of Use or Privacy Policy, you must immediately terminate use of the Services. The terms "you" and "your" in uppercase or lowercase shall mean the user of the Services.

Subject to the Terms of Use, Scan Clan allows you to access and make use of the Services. These Terms of Use constitute an electronic contract between you and us.

Scan Clan reserves the right to revise these Terms of Use at any time in its sole discretion by publishing revised Terms of Use within the Services. Your use of the Services signifies your acceptance of all the terms and conditions contained within the Terms of Use published at the time of your use. You will be responsible for regularly reviewing the Terms of Use published within the Services. The current version is always available at Settings → Terms of Use.

Fees and Charges

Scan Clan is presently provided free of charge. Scan Clan reserves the right, at any time, to charge fees for accessing the whole or part of the Services. If, at any time, you are required to pay a fee for accessing any part of the Services, you will be intimated about the same and you will be allowed to access such part of the Services only upon payment of a fee ("Subscription Fee") for a particular period specified at the time of subscription ("Subscription Period"). Any Subscription Fee is non-refundable and, during the Subscription Period, you are not required to pay any other charge towards subscription, unless there is a change in applicable tax.

Scan Clan reserves the right to revise the Subscription Fee from time to time.

Registration

You are required to create an account as a part of the registration process in order to use the Services. You will create login credentials by choosing a password and providing an e-mail address, or by linking another account such as a Google account. You warrant that the information provided by you during the registration process is true, accurate, current, authorised and complete in all aspects. If there is any change in the information provided by you, you shall update the same.

Unless otherwise expressly allowed, each registration is for a single user only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Services if you share your login credentials. You are responsible for maintaining the confidentiality of your password. You shall not use the login credentials of any other person without that person's authorisation. Failure to comply with the foregoing may result in immediate suspension or termination of your account. You shall notify Scan Clan immediately if you notice any breach or unauthorised use of your account.

If you enable two-step verification, you are solely responsible for retaining your authenticator device and any recovery method. Scan Clan cannot restore access to an account whose second factor has been lost.

An account is required to use the Services. Documents you do not choose to back up remain on your device and are not transmitted to us.

Your Documents

You retain all rights in the documents you scan, import, create, edit or store using the Services ("Your Documents"). Scan Clan claims no ownership over Your Documents.

You grant Scan Clan a limited, non-exclusive licence to store, transmit, process and reproduce Your Documents solely to the extent necessary to operate the Services for you — that is, to provide cloud backup, to sync between your devices, and to return them to you on request. This licence exists only for the purpose of providing the Services to you and for no other purpose. It ends when you delete the document or your account.

You are solely responsible for Your Documents, for having the right to scan, store and share them, and for complying with all applicable laws in doing so.

You are responsible for maintaining your own backups. The Services are a convenience and not an archival, records-management or compliance system. Scan Clan does not guarantee that any document will remain available or recoverable, and you should not rely on the Services as the sole copy of anything you cannot afford to lose.

Storage Limits

Cloud storage is subject to a per-account limit displayed within the Services. When the limit is reached, further uploads will be refused until you free space. Documents retained only on your device are not subject to this limit. Scan Clan reserves the right to revise storage limits from time to time.

Proprietary Rights

The contents of the Services including, without limitation:

Scan Clan's and Spirikle's trademarks, service marks, logos, brand names, trade names and other distinctive identification;
Information, data, texts, materials, interfaces, computer code, databases, products, services, software applications and tools, images, artwork, and machine-learning models; and
The design, structure, selection, compilation, assembly, coordination, expression, functionalities, applications, look and feel, and arrangement of any content contained in or available through the Services

(the items identified in sub-sections (1), (2) and (3) shall be collectively referred to herein as "Contents").

The Contents are the property of Scan Clan or its licensors and are protected under Indian laws including laws relating to copyright, trademark and other intellectual property rights. You shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display, communicate to the public, decompile, reverse-engineer or in any way exploit any of the Contents in whole or in part, except to the extent such restriction is prohibited by applicable law.

Your Documents are not Contents.

User Obligation

You warrant that you shall not:

violate any applicable local, state and central laws and regulations while using the Services;
provide incomplete, inaccurate, untrue or unauthorised information while submitting any information to the Services;
impersonate any person or entity, real or fictitious, while using the Services;
scan, store, transmit or share any document that you do not have the right to scan, store, transmit or share, or that infringes any third party's intellectual property, privacy or confidentiality rights;
interfere with the use of the Services by others or interfere with the operation of the Services;
use the Services in any manner which is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, hateful, racial or otherwise objectionable;
attempt to access any account, document or data belonging to another user;
use the Services to create, alter or reproduce any document with intent to deceive, including forged identification, financial instruments or official records;
circumvent, disable or interfere with any storage limit, rate limit, authentication or security feature of the Services;
use automated means to access the Services at a volume or rate that degrades them for others; or
upload, download, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

User Material

You may be allowed to provide your views, comments, feedback, opinions, ratings or other material through the Services ("User Material"). You are solely responsible for the User Material you submit. User Material does not include Your Documents, which are governed by the "Your Documents" section above.

You shall ensure that such material complies with applicable law, and you affirm that you alone created or own the material submitted by you and that no one else has any rights to it or could claim they own it or that it infringes on the rights of others. Scan Clan does not approve, endorse or adopt any material submitted by users, and assumes no liability whatsoever. You will indemnify and hold harmless Scan Clan against all third party claims, demands and actions brought against Scan Clan which arise from or relate to the material submitted by you.

Scan Clan may use views, comments, feedback, opinions and ratings submitted by you for its internal and external purposes including marketing. You understand and acknowledge that this information may be made available to the public, and grant Scan Clan a non-exclusive licence to display, reproduce, transmit and modify such content. You understand that you will not have the right to approve how we use such content submitted by you.

Disclaimer

The Services and Contents are provided on an "as is" and "as available" basis. They do not constitute advice and should not be relied upon in making any decision.

Automated features of the Services — including document edge detection, automatic cropping, image filters, text recognition (OCR) and automatic titling — are provided for convenience and are not guaranteed to be accurate or complete. You are responsible for verifying the output of any automated feature before relying on it, in particular before sharing, submitting or acting upon a scanned document.

Scan Clan does not warrant that Your Documents will remain unchanged, accessible or recoverable. Scan Clan reserves the right to alter, modify, discontinue or remove any feature of the Services without notice.

Scan Clan does not make any express or implied representation or warranty of any kind, including without limitation any representation or warranty that (i) the Services or any Contents are complete, accurate, reliable or non-infringing; (ii) access to the Services will be uninterrupted, timely, secure or error free; or (iii) the quality of any products, services, information or other material obtained by you through the Services will meet your expectations. All warranties express or implied are disclaimed to the fullest extent permitted by law including, without limitation, any warranty of merchantability, fitness for a particular purpose, and/or non-infringement of intellectual property.

Limitation of Liability

To the fullest extent permitted by applicable law, Scan Clan shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of documents, loss of data, loss of profits, loss of business, loss of goodwill or cost of substitute services, arising out of or in connection with your use of or inability to use the Services, whether based on warranty, contract, tort or any other legal theory, and whether or not Scan Clan has been advised of the possibility of such damage.

To the fullest extent permitted by applicable law, the total aggregate liability of Scan Clan arising out of or in connection with the Services shall not exceed the greater of (a) the total Subscription Fee paid by you to Scan Clan in the twelve months preceding the event giving rise to the claim, or (b) INR 100.

Nothing in these Terms of Use excludes or limits any liability that cannot be excluded or limited under applicable law.

Indemnity

You agree to indemnify, defend and hold harmless Scan Clan, its affiliates, officers, employees and agents from and against any claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to (i) Your Documents or User Material; (ii) your use of the Services; (iii) your breach of these Terms of Use; or (iv) your violation of any law or the rights of any third party.

Termination

Scan Clan may, in its sole discretion, terminate or suspend your access to all or part of the Services for any reason, including without limitation breach of any condition of these Terms of Use.

You may stop using the Services at any time, and may delete your account from Settings → Account. Deleting your account removes your account and the data attached to it from our servers, and cannot be undone.

Sections concerning Proprietary Rights, User Material, Disclaimer, Limitation of Liability, Indemnity, and Governing Laws and Dispute Resolution survive any termination.

Governing Laws and Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any dispute between the parties, such dispute shall be settled through arbitration by a single arbitrator appointed by Scan Clan in accordance with the Arbitration & Conciliation Act, 1996, or any amendment or replacement thereof. The seat of arbitration shall be Chandigarh, India, and the language of arbitration shall be English.

Notice of Copyright Infringement

If you believe that any Content in the Services has been copied in a way that constitutes copyright infringement, please intimate us immediately with a clear description of the copyrighted work that you claim has been infringed, at: support@spirikle.com

Variation

We may revise these Terms of Use from time to time. Revised Terms of Use will apply to the use of the Services from the date of their publication within the Services.

Miscellaneous

Our failure to enforce any provision of these Terms of Use or to respond to a breach by you shall not in any way constitute a waiver of our right to enforce subsequently any terms or conditions of these Terms of Use or to act with respect to similar breaches.

Nothing in these Terms of Use shall constitute any partnership or agency relationship between Scan Clan and you.

If any provision of these Terms of Use is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of these Terms of Use will remain in full force and effect.

Scan Clan shall have no liability to you for any interruption or delay in accessing the Services, irrespective of the cause.

Scan Clan makes no claims regarding access to or use of the Services or Contents outside India. If you use or access the Services or Contents outside India, you do so at your own risk and are responsible for compliance with the laws and regulations of your jurisdiction as well as these Terms of Use.
